Evaluation & Site Terms

These terms apply to the public site and evaluation surfaces provided by MLS Scribe LLC ("MLS," "we," "us"), including the MLS web application and the published MLS Assist browser extension. They are not an offer of production clinical service.

Current boundary. Use fictional or de-identified test data only. Do not submit protected health information (PHI), rely on the build for patient care, buy a subscription, or treat any draft as a final medical record. Production scope, commercial terms, vendor agreements, and any BAA require separate written review.

1. The agreement

These Evaluation Terms and our Privacy Policy govern use of the public site and evaluation surfaces. Production clinical use is governed by executed account agreements (including a BAA where required). Creating an evaluation account does not execute a BAA, order form, subscription, production agreement, or integration contract. Anyone evaluating on behalf of a practice must have permission to do so, but the evaluator may not use this page to bind the practice to unreleased commercial or clinical service.

2. What the Service is — and isn't

MLS is a product candidate for clinical documentation and related practice workflows. In this evaluation it can accept synthetic visit material, draft test notes, suggest test codes, and exercise selected integration flows. Availability in the interface does not mean that a workflow is released for real patient data, production EHR access, billing, legal-report delivery, or patient communication.

MLS is not a medical device and does not practice medicine. The Service produces drafts and suggestions for a licensed clinician to review. It does not diagnose, treat, or make clinical or billing decisions, and it is not a substitute for professional judgment. Nothing produced by the Service is medical advice.

3. Accounts & eligibility

The Service is a business-to-business tool for licensed clinicians and their staff. Patients do not sign up for MLS directly. You agree to:

4. Billing status

Self-service checkout, paid subscriptions, renewals, seat commitments, refunds, and promotional packages are disabled in this release. Prices shown elsewhere are planning information, not an offer that can be accepted through the evaluation build. No click in the current public flow should create a charge or subscription.

5. Health-information prohibition

Enter PHI only through an authorized, signed-in account governed by executed account agreements (including a BAA where required). MLS Scribe is HIPAA compliant for such accounts; these public terms do not themselves execute a BAA or grant clinical access. See the Privacy Policy.

Your synthetic evaluation content remains yours. You grant MLS the limited permission needed to process the fictional or de-identified test content you intentionally submit to the evaluation. The local demo may store that content in browser storage as disclosed in the Privacy Policy. This build is not a medical- record repository and makes no hosted clinical retention, backup, or export promise.

The Service is ours. MLS and its software, models, templates, designs, and branding are the property of MLS Scribe LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the evaluation while MLS makes it available. Feedback you choose to send us may be used to improve MLS without obligation.

9. EHR connections & third-party services

The published MLS Assist channel and isolated candidate are being evaluated with clinician-started Athena workflows. Do not connect an account or page unless you are authorized to access it, and use only synthetic records during this evaluation. The current page does not promise production writeback, compatibility with any other EHR, uninterrupted third-party availability, or a delivery date. Third-party systems remain governed by their own terms.

10. Held workflows

Legal/IME case intake, patient-record upload, authorization verification, report signature, payment, sale, release, and delivery are unavailable. Reputation automation, production patient communications, and other pages marked held or synthetic-only are likewise not commercial services under these terms.

11. Disclaimers

We work hard to keep MLS accurate, secure, and available, but the Service is provided "as is" and "as available." To the fullest extent permitted by law, MLS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that drafts or coding suggestions will be accurate or complete, or that any third-party system will remain available. AI output can contain mistakes — that is exactly why the Service requires your review and signature.

12. Limitation of liability

To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) MLS's total liability arising out of or relating to the Service is limited to the amounts you paid to MLS for the Service in the twelve (12) months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law. No BAA is executed by these terms.

13. Indemnification

You will defend and indemnify MLS against third-party claims arising from your Customer Content, your clinical or billing decisions, your violation of law, or your breach of these terms. MLS will defend and indemnify you against third-party claims that the Service, as provided by us and used as intended, infringes their intellectual-property rights.

14. Suspension & termination

You may stop using the evaluation at any time. MLS may suspend or end evaluation access for misuse, security, legal, or operational reasons. Because this is not a hosted clinical-record service, do not rely on it for medical-record retention or a post-termination export. Clear local synthetic data from the supported logout or browser site-data controls; other retention details are in the Privacy Policy.

15. Governing law & disputes

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. The parties will first try in good faith to resolve any dispute informally by contacting each other. Any dispute that cannot be resolved informally will be brought in the state or federal courts located in Pennsylvania, and each party consents to their jurisdiction. Nothing in this section prevents either party from seeking injunctive relief where its intellectual property or data is at risk.

16. Changes to these terms

We may update these terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, give reasonable advance notice (for example by email or in-app notice). Changes apply prospectively; continued use of the Service after a change takes effect means you accept the revised terms.
